1. Agreement to Terms

By accessing or using PrimeRegister US LLC (“Company”, “we”, “our”), you agree to be legally bound by this Master Service Agreement. If you do not agree, you must not use our services.

You confirm that:

• You are at least 18 years old
• You have legal capacity to enter agreements
• All information provided is accurate and lawful

2. Scope of Services

PrimeRegister provides business formation and compliance services for non-U.S. residents, including but not limited to:

• LLC formation
• EIN application
• Registered agent services
• Compliance filings (BOI, annual reports, etc.)
• Business support services

We act as a third-party service provider only and do not provide legal, tax, or financial advice.

3. No Professional Advice

Nothing provided by PrimeRegister constitutes legal, tax, or financial advice. Clients must consult licensed professionals before making decisions.

4. Client Responsibilities

You agree to:

• Provide accurate and complete information
• Ensure lawful business activities
• Maintain compliance with all applicable laws
• Respond promptly to information requests

You remain solely responsible for your company’s compliance, taxes, and filings.

5. Payments & Fees

• Full payment is required before service begins
• Fees exclude government and third-party charges
• Services are non-transferable

We reserve the right to suspend services for non-payment.

6. Refund Policy

Refunds are strictly limited:

Eligible:

• If service has NOT started
• If we are unable to deliver due to our fault

Not Eligible:

• Once filing or work has commenced
• After documents are delivered
• Due to government delays or rejections
• Due to incorrect client information
• Failure to obtain bank accounts or third-party services

All services are considered consumed once processing begins

7. No Guarantees

We do NOT guarantee:

• EIN approval timelines
• Bank account approvals
• Payment processor approvals
• Government processing times

All such outcomes depend on third parties beyond our control.

8. Third-Party Services Disclaimer

We are not responsible for actions or failures of:

• Government agencies
• Banks or financial institutions
• Registered agents
• Payment processors

9. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect or consequential damages
• Total liability is limited to the amount paid for services

10. Indemnification

You agree to indemnify and hold PrimeRegister harmless from any claims arising from:

• Your business activities
• False information provided
• Illegal or non-compliant use of services

11. Privacy Policy

We collect and process personal data including:

• Name, identification documents, contact details
• Business information

Usage:

• Service delivery
• Legal compliance
• Communication

Data Sharing:

• Government authorities (IRS, state agencies)
• Trusted service providers

We do not sell your data.

We implement security measures but cannot guarantee absolute protection.

12. Intellectual Property

All materials remain property of PrimeRegister.
Clients receive a limited license for business use only.

13. Service Levels

Any response or processing timelines are targets, not guarantees.

14. Termination

We may suspend or terminate services if:

• Terms are violated
• Fraud or illegal activity is suspected
• Payment is not completed

15. Governing Law

This Agreement is governed by the laws of Wyoming, USA.

Disputes shall be resolved via arbitration.

16. Force Majeure

We are not liable for delays caused by events beyond our control.

17. Entire Agreement

This document constitutes the full agreement between client and Company.
